Bylaws 

 

Article I - Name

The name of this organization shall be The Woodlands Area Quilt Guild.

 

Article II - Objectives

The Woodlands Area Quilt Guild is a nonprofit organization dedicated to perpetuating an appreciation of the rich heritage and art of quilting. Provide a common organization of persons who love quilts. Educating the public on the history and artistry of quilt making. Enhancing each member's own quilting skills and encouraging the art of quilting for future generations.

 

Article III ‑ Membership

Section 1. Membership is open to any individual who has an interest in quilts.

Section 2. Anyone is welcome to attend two meetings before joining but will be required to pay the appropriate dues before attending any further meetings.

Section 3. Members are required to pay annual membership dues, the amount to be recommended each year by the Board and voted on by the membership in the February Annual Business Meeting Elections. Dues are payable on or before March 1. Members who have not paid their dues by April 1 are not in good standing and will not receive further newsletters. Members who have not paid their dues by December 31 will be dropped from the organization without notice unless other arrangements satisfactory to the Executive Committee have been made. New members joining after September 1 of any year shall pay one half of the annual dues for the first year.

 

Article IV ‑ Officers

Section 1. The elected officers are the President, Vice President, Recording Secretary, Corresponding Secretary, Treasurer, and Co Treasurer. These officers shall perform the duties prescribed by these bylaws and by the parliamentary authority adopted by the organization.

Section 2. At the regular meeting held in January, a Nominating Committee of seven members shall be elected. It shall be the duty of the Nominating Committee to nominate one candidate for each office to be elected at the  February Annual Meeting. Nominations from the floor shall be permitted; the nominees' consent having first been obtained. No person shall serve two consecutive years on the Nominating Committee.

Section 3. The length of the terms of office is one year or until their successors are elected. The term of office shall begin at the beginning of the regular March meeting or until successors are installed.

Section 4. The Executive Board shall fill vacancies for the unexpired term.

Section 5. No officer shall be eligible to serve for more than two consecutive terms in the same office.

 

Article V ‑ Duties of Officers

A  President ‑ The President presides at all meetings, appoints all special committees, performs all other duties pertaining to the office and is ex officio member of all committees except the Nomination and Election Committees.

B  Vice President ‑ The Vice President presides at all meetings in the absence of the President. This officer will also serve as Chairman of the Program Committee.

C  Recording Secretary ‑ The Secretary keeps an accurate record of the business proceedings of all regular and special Guild and Board meeting.  A committee appointed by the President will approve the minutes and will be posted at each subsequent meeting. This officer maintains a file of all official records pertaining to the Guild.

D  Corresponding Secretary – The Corresponding Secretary shall act as recording secretary in the absence of the Recording Secretary and shall handle guild communications, such as in exchanging newsletters and keeping officers and membership informed of items of interest.

E  Treasurer ‑ The Treasurer receives all moneys and deposits same in the bank; disburses all moneys as authorized by the membership, maintains accurate books of accounts for all receipts and disbursements, serves as Chairman of the Budget Committee, presents the annual budget, submits to the membership a written report of financial statement to be published monthly, and submits the books for an annual audit.

F  Co‑Treasurer – The Co-Treasurer acts as Ways and Means chairman responsible for resources for raising revenues and to assist Treasurer as needed.

 

Article VI ‑ Meetings

Section 1. The regular meetings of the organization shall be held on the first Wednesday of the month (once a month) unless otherwise ordered by the Executive Board.

Section 2.  Annual Meetings ‑ The regular meeting in February shall be known as the Annual Meeting and shall be for the purpose of receiving reports of officers and committees, electing officers and transacting any other business that may arise.

Section 3. Special Meetings ‑ Special meetings of the members may be called by the President, Executive Board or a specified number of members equal to a quorum.

Section 4. A quorum ‑ for purposes of conducting business at any regular, annual, or special meeting of the members ‑ shall be one‑third of the membership of the organization in good standing.

 

Article VII ‑ Executive Committee

Section 1.  The Executive Committee shall consist of the Officers (President, Vice President, Recording Secretary, Corresponding Secretary, Treasurer, and  Co‑Treasurer) and all Committee Chairmen.

Section 2.  The Executive Committee has the power to transact necessary business between meetings of The Woodlands Area Quilt Guild.

Section 3. The Executive Committee will meet once a month for regular meetings.

Section 4. A quorum ‑ for the purposes of conducting business at any regular, annual, or special meeting of the Executive Committee ‑ shall be one‑half of the membership of the Executive Committee.

 

Article VIII - Committees

The President, with the approval of the Executive Committee, shall appoint all committees, standing or special and such special committees as The Woodlands Area Quilt Guild shall require, except as otherwise specified in these bylaws.

 

Article IV - Dissolution

In the event of dissolution, the net assets of the organization shall be distributed to a 501(c)(3) organization whose purposes are similar to this society. No funds shall inure to the benefit of any of the organization's members.

 

Article IX - Parliamentary Authority

The rules contained in the current edition of Robert's Rules of Order, Newly Revised shall govern this organization in all cases to which they are applicable and in which they are not inconsistent with these bylaws.

 

Article XI - Amendment to the Bylaws

These bylaws may be amended at any regular meeting of the membership of the organization by the affirmative vote of at least two‑thirds of the members in attendance. Before any such vote is taken, the secretary of the organization shall certify in writing to the Executive Committee that the secretary has sent each member in good standing, at his or her address** according to the records of the organization, a copy of such proposed changes at least ten days before submission to the membership for its approval.

** The term“at his of her address" shall be interpreted as the address at which each member receives his or her newsletter; whether it is a physical address or an Internet address.
